Dividend Policy
Gulf Bangla Consortium Limited is committed to creating and delivering sustainable value to our shareholders through a balanced approach to capital allocation and dividend distribution.
Dividend Philosophy
Our dividend policy aims to balance the need for reinvesting in our business to fund future growth opportunities while providing our shareholders with reasonable returns on their investment. The company's Board of Directors evaluates dividend distributions based on financial performance, cash flow requirements, and strategic investment needs.
Dividend Payout Ratio
While we do not have a fixed dividend payout ratio, our goal is to distribute between 15% to 30% of our annual net profit as dividends, subject to the company's financial position, growth opportunities, and market conditions.
Dividend Declaration
Dividend declarations are made annually following the approval of our financial statements. The Board of Directors recommends the dividend amount, which is then approved by shareholders at the Annual General Meeting (AGM).

Annual General Meeting (AGM)

- Elect or re-elect Directors

Extraordinary General Meeting (EGM)
EGMs are convened to address specific matters that require shareholder approval outside the regular AGM schedule, such as:

Notice and Materials
Shareholders receive notice of meetings at least 21 days in advance, along with relevant materials, including the agenda, financial information, and proxy forms. We encourage all shareholders to participate in these meetings, either in person or by proxy.
